Conflict of interest

Trading involves risk. You could lose more than your deposit.

A conflict of interest is a situation in which a firm's own interest and a client's could point in different directions, which a licensed firm must identify, manage, and disclose where it cannot manage it.

The obligation is not to have no conflicts, which is impossible in a business that quotes prices and earns from the dealing it arranges. It is to identify them, put arrangements in place so that a client is not disadvantaged, and disclose the residual where the arrangements are not sufficient. A licensed firm therefore has a conflicts policy and an execution policy, both of which are documents that exist and can be read.

The conflicts that recur in this business are structural rather than exotic. A firm that takes the other side of a client position gains where the client loses, unless it hedges. A firm paid per round turn earns more from a client who deals more often. A firm choosing where to route an instruction may face different economics at different venues. Remuneration inside the firm can pull staff toward outcomes clients would not choose. Each has a standard management arrangement, and each is disclosed rather than denied.

What disclosure does and does not achieve is genuinely argued over. It transfers information, and it does not transfer judgement: research on disclosure in other markets finds it can make a disclosed conflict feel resolved rather than present. That is why the conduct rules require management first and disclosure only where management falls short, rather than treating a disclosure as a substitute for the arrangement.
